NOTICE OF ANNUAL MEETING OF MEMBERS
OF
MONTEREY HISTORY AND ART ASSOCIATION, LTD.
Notice is hereby given that the annual meeting of the members of Monterey History and Art Association, Ltd., a California nonprofit public corporation (the “Association”), will be held on September 30, 2014 at 4:30 p.m. at the Stanton Center/ Museum of Monterey Theater at 5 Custom House Plaza, Monterey, California.
The following business will be considered at this meeting or any continuation thereof:
(a) The election of persons to fill seats on the Board of Directors of the Association.
(b) The election of non-board members to the nominating committee of the Association.
(c) Reports of each of the Association’s component parts: Museum, Casa Serrano, Los Amigos, Merienda, Mayo Hayes O’Donnell, Costumes, Development.
(d) The current financial crisis and it’s history including the Moran Lawsuit.
(e) The status of The Museum of Monterey and it’s possible closure.
(f) The future and possible restructure of the Association.
(g) The liquidation of Association assets and possible sale of art from the permanent collections.
No action will be taken at the annual meeting on any other matter as to which it is required that the general nature of such action be set forth in the notice under California Corporations Code 5511 (f).
IF YOU ARE UNABLE TO ATTEND THE ANNUAL MEETING, PLEASE COMPLETE THE ENCLOSED PROXY AND RETURN IT IN THE SELF-ADDRESSED STAMPED ENVELOPE PROVIDED FOR THIS PURPOSE.
The record date for the annual meeting, as determined by the Board of Directors of the Association, is September 30, 2014, such that only active, life and sustaining members of the Association as of the close of business of such date will have the right to vote at the annual meeting.
